END USER LICENCE AGREEMENT — VITALS

Licensor:  MEDICAL ETHIC DIGITAL SRL
Product:   Vitals for macOS
Year:      2026

By installing or using Vitals ("the Software") you agree to this Agreement. If
you do not agree, do not install or use the Software.

1. LICENCE GRANTED

Subject to your compliance with this Agreement, the Licensor grants you a
personal, non-exclusive, non-transferable, revocable licence to install and use
the Software for your own purposes, private or commercial.

The licence is personal to you. It names no number of machines and requires no
activation server: verification is performed entirely offline, on your own
computer, and the Software does not report your use to the Licensor.

Vitals is distributed with a free tier and paid capabilities. The free tier may
be used without a licence key indefinitely. Paid capabilities require a valid
licence key issued by the Licensor.

2. RESTRICTIONS

You may not:

  (a) redistribute, resell, rent, lease, sublicense or otherwise make the
      Software available to third parties;
  (b) decompile, disassemble or reverse engineer the Software, or attempt to
      derive its source code, except to the extent this restriction is expressly
      prohibited by applicable law;
  (c) modify the Software, or circumvent or attempt to circumvent its licensing
      mechanism;
  (d) share, publish or resell a licence key, or use a licence key issued for
      another product of the Licensor;
  (e) remove or alter any proprietary notice contained in the Software.

3. OWNERSHIP

The Software is licensed, not sold. The Licensor retains all right, title and
interest in and to the Software, including all intellectual property rights.
This Agreement transfers no ownership.

The Software incorporates third-party components distributed under their own
licences, which continue to apply to those components.

4. YOUR DATA

The Software reads information about processes and sessions on your own
computer and stores its records locally, on that computer. The Licensor has no
access to that data, and the Software transmits none of it.

The Software checks for updates only when you ask it to, or on a schedule you
may disable. It performs no other network activity.

5. LIMITED WARRANTY

The Software is provided "AS IS", without warranty of any kind, express or
implied, including but not limited to the implied warranties of merchantability,
fitness for a particular purpose and non-infringement.

The Licensor does not warrant that the Software will be error-free or
uninterrupted, or that its measurements will be complete in every environment.
The Software reports what it can measure and reports uncertainty as uncertainty;
it is a diagnostic aid and not a guarantee about the state of any system.

Nothing in this section limits any statutory right you have as a consumer that
cannot be excluded under applicable law.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Licensor shall not be
liable for any indirect, incidental, special, consequential or punitive damages,
or for any loss of profits, data or business, arising out of or relating to the
Software or this Agreement, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the Licensor's total
aggregate liability arising out of or relating to the Software shall not exceed
the amount you paid for the licence.

Nothing in this section excludes or limits liability for death or personal
injury caused by negligence, for fraud, or for any other liability that cannot
be excluded or limited under applicable law.

7. TERM AND TERMINATION

This Agreement takes effect when you first install or use the Software and
continues until terminated.

It terminates automatically if you breach any of its terms. On termination you
must stop using the Software and remove all copies in your possession.

Sections 3, 5, 6 and 8 survive termination.

8. GOVERNING LAW

This Agreement is governed by the laws of Romania, without regard to its
conflict of law rules. The courts of Romania shall have jurisdiction over any
dispute arising out of or relating to this Agreement, save where mandatory
consumer protection law grants you the right to bring proceedings elsewhere.
